When CE2 is HIGH, the other 4 clock inputs (CLK5 to CLK8) are accepted and the counter operates with respect to these inputs.

In order for the output enable (OE) to be activated, both CE1 and CE2 must be high. The OE is used to enable the 8 output pins of the IC. When OE is HIGH, the output pins will reflect the counter state. When OE is LOW, all outputs are independently forced to logic LOW.
